Terms of Service

Website Design, Lead Automation & CRM Platform

Please read these Terms of Service ("Terms") carefully before using our services. By engaging WebDevAuto for website design, system automation, lead acquisition, or by using our CRM platform as a tenant, you agree to be bound by these Terms.

Scope of Services

We provide digital services including, but not limited to, custom website design, development, CRM integration, hosted multi-tenant CRM and lead-automation software, voice agent operation, and the implementation of automated business tools. Each engagement is governed by a specific Statement of Work (SOW), proposal, or order form that outlines deliverables, fees, and timelines.

Client Responsibilities

To ensure successful project completion and lawful operation, you agree to:

  • Provide necessary assets (logos, copy, images) in a timely manner.
  • Review and provide feedback on drafts within the agreed-upon timeframe.
  • Grant necessary access to third-party accounts (e.g., hosting, domain registrars, CRM platforms) required for setup.
  • Provide accurate, current information about your business, services, and pricing for use in tenant-configured features.
  • Comply with all applicable laws governing your industry and your use of the Services, including consumer-protection, telemarketing, and data-protection laws.

Payment & Fees

Fees are outlined in your individual project proposal or subscription order form. Unless otherwise stated:

  • DepositA non-refundable deposit is required before work commences.
  • Subscription FeesRecurring platform fees are billed in advance for the upcoming period and are non-refundable.
  • Final PaymentProject balances are due upon completion or prior to "going live."
  • Late PaymentsMay result in temporary suspension of automation services, voice services, or website hosting access.

Intellectual Property

Upon final payment, the client owns the finished website design and front-end content. We retain ownership of any proprietary automation scripts, pre-existing code frameworks, the CRM platform, and any backend systems developed as part of our core service offering. You are granted a non-exclusive, non-transferable license to use these systems for your business operations during your active subscription.

AI & Voice Services — Acceptable Use

If you are a tenant using our voice agent, automated outreach, AI Call Notes, or any other AI-assisted feature, you agree that:

  • Recording and transcription consent. You will obtain all consents required by applicable law from any party whose voice you record, transcribe, or upload to our platform — including any "two-party" or "all-party" consent required by the jurisdiction in which the call occurs (for example, California, Florida, Pennsylvania, Massachusetts, Illinois, and Washington in the United States). Sole responsibility for these consents and for any required disclosures to call participants rests with you.
  • Lawful contact. You will not use our SMS, voice, or email tools to contact individuals on the U.S. National Do Not Call Registry, on any state-level DNC list, or in violation of TCPA, CAN-SPAM, CASL, or any equivalent applicable law. We provide DNC scrubbing tools as an aid; ultimate responsibility remains with you.
  • Content. You will not use the AI features to generate or distribute content that is unlawful, defamatory, infringing, deceptive about the identity of a person or organization, or otherwise prohibited by applicable law.
  • No high-risk uses. The AI features are designed for sales, marketing, and customer-service workflows. You will not use them for medical diagnosis, legal advice, financial advice, employment decisions, or any other use where an automated output could materially harm a person without human review.
  • Indemnification. You agree to indemnify and hold WebDevAuto harmless from any claim, loss, or liability arising from your failure to obtain required consents or from your use of the Services in violation of applicable law.
If you are unsure whether your jurisdiction requires two-party consent for call recordings, consult your own counsel before enabling the AI Call Notes feature or recording any calls.
Limitation of LiabilityIn no event shall WebDevAuto be liable for any indirect, incidental, or consequential damages, including loss of profits or data, arising out of the use or inability to use our automation systems, AI features, or website designs. Our aggregate liability for any direct damages shall not exceed the fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim.

Data Processing & Subprocessors

Our processing of personal data on your behalf is governed by our Privacy Policy and the list of subprocessors published at /subprocessors.html. By using the Services, you authorize us to use the listed subprocessors to deliver the Services. We will provide reasonable advance notice before adding a new subprocessor that processes your data.

Termination & Data Retention

Either party may terminate the service agreement with written notice if the other party breaches these Terms. Upon termination:

  • You are responsible for all work completed and all subscription periods commenced up to the date of termination.
  • Your tenant data (CRM records, call notes, transcripts, attachments) will remain accessible to you for 60 days following the termination date, during which you may export it via the admin export tool or request an export from us.
  • After the 60-day window, your tenant data will be permanently deleted from our active systems. Backups containing your data are subject to a further rolling 30-day retention before they are also deleted.
  • Billing, tax, and audit-trail records will be retained for the period required by applicable financial regulations (typically 7 years).
  • Any phone numbers, custom domains, or third-party OAuth grants provisioned for you will be released or revoked upon termination, subject to your cooperation in any required porting or hand-off.

08. Warranties & Support

We warrant that our services will be performed in a professional manner. While we aim for high uptime for automated systems and the CRM platform, we do not guarantee uninterrupted operation and we do not guarantee that third-party APIs will remain unchanged or error-free. Specific service-level commitments, where offered, are set out in your order form.

09. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the company is registered, without regard to its conflict of law provisions.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will revise the "Last Updated" date above and, for material changes, provide additional notice. Your continued use of our services following any changes constitutes acceptance of the new Terms.
